1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Redwood Meridian LLC, a California Limited Liability Company, doing business as My Legal Academy ("Company," "we," "us," or "our"), governing your access to and use of our website mylegalacademy.com (the "Site") and all related services, content, tools, features, and applications (collectively, the "Services").

My Legal Academy provides the following services:

• Consulting Services: Business consulting, marketing strategy, and operational guidance for law firms
• Software Platform (Amicus Pro): A law firm operating system for intake management, lead tracking, and automation
• Educational Content: Training materials, knowledge base articles, webinars, and resources
• Community Access: Lawyer Club membership and networking opportunities
• Tools and Calculators: Revenue Calculator and other interactive tools
• Marketing Services: Advertising management, lead generation, and campaign optimization

The specific services provided to you will depend on your engagement with us and any separate agreements you enter into.

4. Accounts and Registration

4.1 Account Creation

Certain features of our Services may require you to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, including for violation of these Terms. You may also request to close your account by contacting us at info@mylegalacademy.com.

6. Service Agreements and Billing

6.1 Program Subscriptions

Enrollment in certain programs or services may require a separate written agreement ("Service Agreement") that will specify the scope of services, fees, payment terms, and other conditions. In the event of any conflict between these Terms and a Service Agreement, the Service Agreement shall control with respect to those services.

6.2 Month-to-Month Engagements

If no separate Service Agreement is in place, your engagement with us shall be considered a month-to-month arrangement. Either party may terminate a month-to-month engagement with thirty (30) days' written notice to the other party.

6.3 Payment Terms

You agree to pay all fees and charges associated with your use of the Services in accordance with the pricing and payment terms presented to you. All payments are processed through secure third-party payment processors.

6.4 Refund Policy

We do not typically provide refunds for services already rendered. Our services require significant resources, time, and customization, and once work has been performed, it cannot be "returned."

6.5 Cancellation

To cancel your subscription or services, please provide written notice as specified in your Service Agreement or, for month-to-month engagements, at least thirty (30) days before your next billing date. You remain responsible for any fees incurred up to the effective date of cancellation.

7. Intellectual Property

7.1 Our Content

All content on our Site and in our Services, including but not limited to text, graphics, logos, images, videos, software, tools, methodologies, and other materials ("Our Content"), is the property of My Legal Academy or our licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise use Our Content without our prior written consent, except for your personal, non-commercial use as intended by the Services.

7.2 Trademarks

"My Legal Academy," "Amicus Pro," "Revenue Leak Audit," "Lawyer Club," and related logos and names are trademarks of Redwood Meridian LLC. You may not use our trademarks without our prior written permission.

7.3 User Content

If you submit content to our Site or Services (such as testimonials, feedback, or community posts), you grant us a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, modify, adapt, publish, and display such content in connection with our Services and marketing.

8. DMCA and Copyright

8.1 DMCA Notice

We respect the intellectual property rights of others. If you believe that any content on our Site infringes your copyright, please send a notice to our designated DMCA agent with the following information:

8.2 Counter-Notice

If you believe your content was wrongly removed due to a DMCA notice, you may submit a counter-notice with the required information under the DMCA.

8.3 Repeat Infringers

We may terminate the accounts of users who are repeat infringers of intellectual property rights.

9. Prohibited Conduct

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Services or servers connected to the Services

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• The Services will meet your requirements or expectations
• The Services will be uninterrupted, timely, secure, or error-free
• Any results obtained from the Services will be accurate or reliable
• Any errors in the Services will be corrected

YOU UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MY LEGAL ACADEMY, REDWOOD MERIDIAN LLC, OR OUR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, OR AFFILIATES BE LIABLE FOR:

• Any indirect, incidental, special, consequential, punitive, or exemplary damages
• Any loss of profits, revenue, data, goodwill, or other intangible losses
• Any damages resulting from your use or inability to use the Services
• Any damages resulting from unauthorized access to or alteration of your data
• Any damages resulting from the conduct of any third party on the Services

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF:

• The amount you paid to us in the twelve (12) months preceding the claim, or
• One hundred dollars ($100)

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless My Legal Academy, Redwood Meridian LLC, and our officers, directors, employees, agents, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of any third party
• Any content you submit or transmit through the Services

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

14.2 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at info@mylegalacademy.com to attempt to resolve the dispute informally. We will make good faith efforts to resolve any dispute within thirty (30) days.

14.3 Arbitration

If we cannot resolve the dispute informally, any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding arbitration in Los Angeles County, California, in accordance with the rules of the American Arbitration Association.

YOU UNDERSTAND THAT BY AGREEING TO THESE TERMS, YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL AND THE ABILITY TO PARTICIPATE IN A CLASS ACTION.

14.4 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the fullest extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any dispute to be arbitrated on a class-action basis; and (c) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

14.5 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or prevent irreparable harm.

15. Communications

By using our Services, you consent to receive electronic communications from us. These communications may include notices about your account, updates to the Services, and promotional messages. You agree that all agreements, notices, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable Service Agreements, constitute the entire agreement between you and My Legal Academy regarding the Services.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or internet failures.
